Terms & conditions.

These Terms & Conditions ("Terms") govern your access to and use of the PromoEQP website and member program ("Service"), operated by PromoEQP ("PromoEQP," "we," "us," or "our"). By creating an account, starting a trial, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The PromoEQP program

PromoEQP is a distributor-curated network that gives promotional-product distributors access to a cultivated list of supplier partners and their pricing. PromoEQP is not a party to the transactions you conduct with suppliers. We facilitate access; suppliers remain solely responsible for their products, pricing, terms, fulfillment, and support. We do not take rebates or a percentage of your orders.

Eligibility & accounts

The Service is intended for promotional-product distributors and business users. You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

Membership, trial & billing

• Trial. Your first month is free. No payment card is required to begin the trial.
• Promotional pricing. Months two and three are billed at $10/month.
• Standard rate. From the fourth month onward, membership is billed at the then-current standard rate ($39/month as of the last-updated date). Our "Loyalty Clause" protects existing members from arbitrary increases to their subscription rate.
• Month-to-month. Membership is a recurring month-to-month subscription with no minimum term. Fees are billed in advance each billing cycle to the payment method on file.
• Cancellation. You may cancel at any time from your dashboard. Cancellation stops future billing; access continues through the end of the current paid billing period. Except where required by law, fees already paid are non-refundable, and there is no clawback of the free month.

Acceptable use

You agree not to misuse the Service, including by: reselling or redistributing supplier pricing or member-only content to non-members; attempting to gain unauthorized access to the Service or its data; scraping, copying, or harvesting content except as expressly permitted; or using the Service in violation of any applicable law or supplier agreement.

Text messaging program

If you opt in, you consent to receive recurring account, billing, and program text messages from PromoEQP at the number you provide. Consent is not a condition of purchase. Message frequency varies. Third-party services

The Service references and integrates with third-party services, including SAGE. Your use of those services is governed by their own terms and policies. We are not responsible for third-party services or content.

Intellectual property

The Service, including its content, branding, and the curated supplier list, is owned by PromoEQP or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes while your membership is active.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that supplier pricing, availability, or information is error-free or uninterrupted.

Limitation of liability

To the fullest extent permitted by law, PromoEQP will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

Governing law

These Terms are governed by the laws of the United States and the state in which PromoEQP maintains its principal place of business, without regard to conflict-of-law principles. Any dispute will be resolved in the courts located there.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance.
